达沃成品法律服务委托条款

本达沃成品法律服务委托条款(“委托条款”)适用于您与上海达沃律师事务所(“达沃”)的委托关系,旨在明确您通过网上问卷已提交或拟提交的成品服务(“成品服务”)的范围和条款。请注意,本委托条款仅适用于成品服务,若您通过任何其他线上或线下渠道委托达沃提供法律服务,或委托达沃提供超出下述“二、成品服务”中所明确的范围提供法律服务的,则可能会适用额外条款。

请注意,本文件末尾所链接的隐私和Cookies政策系本委托条款不可分割的部分。您确认接收问卷调查的行为即表明您同意达沃的隐私和Cookies政策。

A. 利益冲突审查/合规审查
在收到您提交的问卷(或委托要求)后,达沃将进行相关的内部合规审查,以避免任何由于预期的委托关系而引起的利益冲突。如果发现潜在的利益冲突,您将会收到我们无法就您所寻求的委托关系提供服务的通知。此外(且尽管存在前述合规审查的结果),达沃保留在整个委托关系过程中一旦出现利益冲突而单方终止委托关系的权利

B. 成品服务

I. 债务催收的服务范围和(固定)收费标准
达沃的债务催收成品服务包含两个阶段:

  • 阶段一: 在达沃收到您提交的问卷并确认您的付款后,达沃的律师将仔细审阅您提供的所有信息和文件。之后,达沃将与您进行联系并为您提供咨询,从而明确您回收债务的可能性,并就后续步骤提供建议。(人民币2,500元,不含增值税)
  • 阶段二:根据阶段一的结果,达沃律师将起草律师函,并在您确认后签署并代表您向您的债务人发送要求支付所有剩余欠款的正式律师函,从而实现催收未支付款项的目的。此外,达沃将代表您与您的债务人进行协商以收回未支付金额。(人民币2,500元,不含增值税)
  • 如果在您委托达沃后的任何时间,成功收回了(部分)欠款,达沃将基于收回的金额收取10%的激励费

前述阶段一和阶段二固定法律服务费将依次按照两笔费用分别开具发票。您在此同意,在成功收回您所主张的(任何一部分)欠款时,您将即刻通知达沃,且达沃将在此后另行向您收取10%的激励费。在阶段一完成后,您可以选择继续达沃成品服务的阶段二项目,或选择终止委托关系。同样地,如果达沃认为您的情况不适合阶段二的法律服务,达沃保留在完成阶段一后终止委托关系的所有权利

II. 商标申请的服务范围和(固定)收费标准

《授权委托书》
达沃依法享有商标代理资质。为遵守当地法律,您需要签署并向我们寄回《授权委托书》。《授权委托书》将在您提交问卷后、达沃向您提供商标服务前提供给您。

服务范围和(固定)收费标准
达沃成品商标申请服务包含两种选项,每一种选项均包含两个阶段:

1. 如果您已在国外注册或已有商标

  • 阶段一:在达沃收到您提交的问卷、您的《授权委托书》并确认您的付款后,达沃的律师将仔细审阅您提供的所有信息和文件。之后,达沃将进行商标在先近似检索并评估商标申请驳回风险。根据上述结果,达沃将提供合适的商标策略,包括商标申请的总数。(人民币2,000元,不含增值税)
  • 阶段二:在您同意商标策略后,达沃将就您的商标申请进行报价。每一个商标申请我们将收取人民币1,000元,限定每一类10个商品或服务*。在收到您的付款后,达沃将代表您提出商标申请。(1,000元人民币包含中国国家知识产权局(“国知局”)的相关申请费用,但不包含增值税)
    *超出10个商品或服务的,每一个额外商品或服务将加收80元人民币(不含增值税)的费用

2. 如果您还未在国外申请或没有已注册商标

  • 阶段一:在达沃收到您提交的问卷、您的《授权委托书》并确认您的付款后,达沃的律师将仔细审阅您提供的所有信息和文件。之后,达沃将提供定制化的商品和服务列表,明确商标的范围。在您同意后,达沃将进行商标在先近似检索并评估商标申请驳回风险。根据上述结果,达沃将提供合适的商标策略,包括商标申请的总数。(人民币4,000元,不含增值税)
  • 阶段二:在您同意商标策略后,达沃将就您的商标申请进行报价。每一个商标申请我们将收取人民币1,000元,限定每一类10个商品或服务*。在收到您的付款后,达沃将代表您提出商标申请(1,000元人民币包含国知局的相关申请费用,但不包含增值税)
    *超出10个商品或服务的,每一个额外商品或服务将加收80元人民币(不含增值税)的费用。

对于以上两种选项,法律服务费均将分两个阶段收取。在阶段一完成后,您可以选择继续达沃成品服务相应的阶段二项目,或选择终止委托关系。同样地,如果达沃认为您的情况不适合阶段二的法律服务,或您的商标不可能在中国完成申请,则达沃保留在完成阶段一后终止委托关系的所有权利。

III. 劳动合同模板的服务范围和(固定)收费标准
达沃成品劳动合同模板服务包含两个阶段:

  • 阶段一 劳动合同模板
    在达沃收到您提交的问卷并确认您的付款后,达沃的律师将仔细审阅您提供的信息。之后,达沃将向您提供劳动合同模板,并根据您的具体情况附上如何填写合同内容的指引。
  • 阶段二 一小时法律咨询
    在您收到来自达沃的劳动合同模板后,您可以要求与达沃的律师进行一小时的法律咨询。这段时间达沃将从总体层面回答您关于模板或雇佣流程的问题,或根据您的需求对合同模板进行定制化修改。

达沃成品劳动合同模板服务的总价格为人民币8,000元(不含增值税)。若在超过一小时法律咨询后,您继续委托达沃的,额外产生的费用将适用我们的通常费率。一旦您的咨询时间超时,达沃会通知您。如果您打算继续委托达沃,达沃保留其收取额外费用的权利。

C. 发票和付款
您在提交问卷后,即可支付固定法律服务费。如果您选择通过微信支付,则应在系统出现支付对话框时完成支付。如果您选择通过线下渠道(银行转账)支付,固定法律服务费应在收到我们的发票后立即支付,以便我们开展工作。任何额外费用(例如但不限于激励费)将另行开具发票,且应当在收到后30个日历日内支付。

D. 其他支出和增值税
除国知局的申请费用外,我们的收费不包括任何与我方(法律)服务相关的支出,包括但不限于:任何交通费、住宿费用(上海市区之外),政府收费(备案费),以及其他专业服务提供商/第三方收取的费用(如会计师、公证人、(认证)翻译员等)。

在全部费用之外会产生6.6%的增值税附加费用。根据需要(若在相关问卷中明确)上海达沃律师事务所须在收到付款的5个工作日内开具正式的增值税发票。

E. 相关信息与保密条例
请及时告知我们任何您所知可能影响我们提供(法律)服务的事宜(如:名称、地址或国家的变更、公司管理层或所有权的变更等)。任何在我们提供(法律)服务过程中您向我们提供的公众领域之外的信息,我们都将按照保密信息处理。

F. 修订与附加协议
任何对本委托条款或额外的具体法律协议进行的修订或任何附加服务协议必须以书面形式作出/同意。

G. 接受委托条款
在您阅读并接受本委托条款之后,请在问卷中的适当板块确认本委托条款。如您未确认接受本委托条款但仍然(继续)就任何服务内容对我们进行指示的,您也将被视为已接受本委托条款。

H. 隐私和Cookies政策
达沃的成品服务利用了第三方在线平台(MikeCRM)来支持您所访问的问卷系统。您将通过【https://www.dawo-lf.com/zh/privacy-and-cookies-policies/】查看达沃的隐私和Cookies政策,包含达沃的责任以及由第三方支持的网站功能的声明。

I. 责任限制
达沃就最大范围内声明免责,无论是基于合同、侵权(包括疏忽)责任还是其他原因,且进一步对所有损失声明免责,包括但不限于因本委托条款和(成品)服务而引起的或以任何方式相关的间接、附带、后果性或特定损害。

J. 语言
本委托条款以中文和英文书就。若中英文版本存在冲突,应以中文为准。

K. 法律适用与争议解决
本委托条款及其产生或与之相关的任何争议或索赔(包括非合同争议或索赔)适用中华人民共和国法律。

若因本委托条款引起或与之相关的争议无法通过友好协商的方式解决,该争议应提交至上海国际仲裁中心,根据提起仲裁申请时生效的仲裁规则进行仲裁。仲裁地点在上海。仲裁员为三(3)人。仲裁语言为中文和英文。仲裁裁决是终局的且对各方具有约束力。

DaWo Ready-Made Services Engagement Terms

These DaWo Ready-Made Services Engagement Terms (the “Engagement Terms”) apply to your engagement with DaWo Law Firm Shanghai (“DaWo”) and define the scope and terms of the ready-made services you are obtaining through the online questionnaire(s) that you have submitted or intend to submit (the “Services”). Please note that these Engagement Terms specifically apply to the Services and that additional terms may apply if you engage DaWo for (other) services through any other online or offline channels, or if work outside of the scope of the Services, as defined under heading “B. The Services”, will be performed.

Please note that the Privacy and Cookies Policies linked at the end of this document are integral parts of these Engagement Terms and that confirming your acceptance on the questionnaire implies that you are also consenting to DaWo’s Privacy and Cookies Policies.

A. Conflict / Compliance Check

After receiving your questionnaire submission (or engagement request), DaWo will perform relevant internal compliance checks aiming to avoid any conflict of interest to occur due to the envisaged engagement. In the event that a potential conflict of interest is noted, you will receive a notice of our inability to provide our assistance with respect to the matter for which you seek our engagement. Additionally (and notwithstanding the outcome of the aforementioned compliance checks), DaWo reserves its rights throughout the entire engagement to unilaterally discontinue the engagement in case a conflict of interest appears to be present.

B. The Services

I. Debt Recovery Scope and (Fixed) Fees
DaWo’s ready-made debt recovery services consist of two phases:

  • Phase 1: After DaWo receives your questionnaire submission and confirms your payment, the information and all documents that you have provided will be carefully reviewed. DaWo will then be in touch with you for a consultation to clarify your chances of recovery and advise you on the next steps to take. (2,500CNY excl. VAT)
  • Phase 2: depending on the outcome of Phase 1, DaWo’s lawyer(s) will draft and, following your confirmation, sign and send a formal lawyer’s letter to your debtor requesting payment of all outstanding invoices. Additionally DaWo will enter into negotiations with your debtor on your behalf with the objective to recover the unpaid amount. (2,500CNY excl. VAT)
  • In the event of successfully recovery of (part of) the funds at any moment after you engage our Services, DaWo charges a 10% success fee for the amount recovered.

The aforementioned fixed fees for Phase 1 and Phase 2 are invoiced accordingly in two installments and you hereby agree to notify DaWo immediately upon successful recovery of (any part of) the claimed funds, after which you will be charged the 10% success fee separately. Upon completion of Phase 1, you may choose to either continue with Phase 2 of our Services or discontinue the engagement. Likewise, if DaWo deems that your situation is not suitable for Phase 2 all rights are reserved to discontinue the engagement upon completion of Phase 1.

II. Trademark Application Scope and (Fixed) Fees

Power of Attorney
DaWo is qualified by law to act as your trademark agent. For compliance with local law, you must sign and return to us a Power of Attorney (“POA”), which will be issued to you after you submit the questionnaire, before we can provide you with the trademark services.

Scope and (Fixed) Fees
DaWo’s ready-made trademark application services consist of two options; each option entails two phases:

1.Ready-to-Go Trademark Application

  • Phase 1: After DaWo receives your questionnaire submission, your POA, and confirms your payment, the information and documents that you have provided will be carefully reviewed. DaWo will then perform the trademark availability check and assess its refusal risk. Based on the results, DaWo will recommend a suitable trademark strategy, including the total number of trademarks to apply. (2,000CNY excl. VAT)
  • Phase 2: After you agree to the trademark strategy, DaWo will quote you a price for your trademark application. DaWo charges 1,000CNY for one trademark application within one class for at most ten items*. Upon receipt of your payment, DaWo will file the trademark application on your behalf. (1,000CNY per Trademark* excl. VAT, but include relevant filing fees with the China National Intellectual Property Administration (“CNIPA”))
    *Every additional item beyond ten under one trademark application will be charged an additional fee of 80CNY excl. VAT.

2.From-Scratch Trademark Application

  • Phase 1: After DaWo receives your questionnaire submission, your POA, and confirms your payment, the information and documents that you have provided will be carefully reviewed. DaWo will then propose a customized list of goods and services, indicating the scope of your trademark. After your approval, DaWo will perform the trademark availability check and assess its refusal risk. Based on the results, DaWo will recommend a suitable trademark strategy, including the total number of trademarks to apply. (4,000CNY excl. VAT)
  • Phase 2: After you agree to the trademark strategy, DaWo will quote a price for your trademark application. DaWo charges 1,000CNY for one trademark application within one class for at most ten items*. Upon receipt of your payment, DaWo will file the trademark application on your behalf.
    (1,000CNY* excl. VAT, but include relevant filing fees with CNIPA)
    *Every additional item beyond ten under one trademark application will be charged an additional fee of 80CNY excl. VAT.

For both Ready-to-Go and From-Scratch Trademark Application, the fees for the Services are charged through two phases. Upon completion of each Phase 1, you may choose to either continue with the corresponding Phase 2 of our Services or discontinue the engagement. Likewise, if DaWo deems that your situation is not suitable for Phase 2 of our Services, or if filing an application for your trademark in China is not possible, all rights are reserved to discontinue the engagement upon completion of the relevant Phase 1.

III. Employment Contract Template Scope and (Fixed) Fees
DaWo’s ready-made employment contract template services consist of two parts:

  • Phase 1 Employment Contract Template:
    After DaWo receives your questionnaire submission and confirms your payment, the information that you have provided will be carefully reviewed. DaWo will then send you its employment contract template with detailed instructions on how to complete the contract in accordance with your specific situation.
  • Phase 2 One Hour of Consultation:
    After you receive DaWo’s employment contract template, you may request up to one hour of consultation with DaWo’s lawyers. The time may be used to answer your questions about the template or your employment process in general, or make customized changes to the contract template based on your needs.

The total fee for DaWo’s ready-made employment contract template services is 8,000CNY excl. VAT. If you continue to engage DaWo’s services after you exceed the one hour limit for consultation, extra fees may apply in accordance with our regular rates. DaWo will notify you once you exceed the agreed time limit for consultation and DaWo reserves its rights to charge the extra fees should you choose to continue the engagement.

C. Invoicing and Payment
Our fixed fees for the Services are payable upfront once you submit the questionnaire(s) and if you choose to pay through WeChat, the payment should be completed as soon as the system prompts the payment dialogue. If you choose to pay through offline channels (bank transfer), the fixed fees should be paid forthwith after receipt of our invoice in order for us to commence our work. Any additional fees (such as, but not limited to, success fees) will be invoiced separately and are payable within 30 calendar days upon receipt.

D. Disbursements and VAT
Our fees shall, save the quoted filing fees with CNIPA, not include any disbursements in connection with our (legal) services, including, but not limited to: all travel and accommodation expenses (outside Shanghai Municipal Area), government charges (filing fees) and charges of other professional service providers/third parties, such as accountants, notaries and (certified) translators.

The total fee will entail a 6.6% surcharge that covers for VAT. Upon request (if indicated in the relevant questionnaire) DaWo Law Firm Shanghai should issue an official VAT invoice (fapiao) within 5 working days after receipt of payment.

E. Information and Confidentiality
Please advise us immediately of any matters of which you are aware and which may affect our ability to perform our (legal) services (e.g. any change of name, address or country of residence, as well as (for corporates) changes in management or ownership). Any information which we obtain from you while providing our (legal) services, which is not in the public domain, will be treated as confidential.

F. Amendments – Additional Agreements
All amendments to these “Engagement Terms” or specific service agreements in addition shall be made or agreed to in writing.

G. Acceptance of Engagement
When you have read these Engagement Terms and find them acceptable, please complete the appropriate section on the questionnaire that asks you to confirm your acceptance. In cases where you do not confirm your acceptance but you (continue to) instruct us in relation to any services, you will also be deemed to have accepted the conditions set out in this document.

H. Privacy and Cookies Policies
DaWo’s ready-made services utilize a third-party online platform (MikeCRM) to power the questionnaire that you are accessing. You will find DaWo’s Privacy and Cookies Policies, which includes DaWo’s responsibilities and disclaimers for website features powered by third parties, through [https://www.dawo-lf.com/en/privacy-and-cookies-policies/].

I. Limitation of Liability
DaWo disclaims all liability to the maximum extent possible, whether based in contract, tort (including negligence) liability or otherwise and further disclaims all losses, including without limitation indirect, incidental, consequential, or special damages arising out of or in any way connected with these Engagement Terms and the (ready-made) Services.

J. Language
These Engagement Terms are offered in both English and Mandarin. In cases of inconsistency between the two versions, the Chinese version shall prevail.

K. Governing Law and Dispute Resolution
These Engagement Terms and any dispute or claim arising out of or in connection therewith (including non-contractual disputes or claims) are governed by the laws of the People’s Republic of China.

In the event that a dispute arising out of or in connection with these Engagement Terms cannot be resolved in a friendly manner, such dispute shall be submitted to the Shanghai International Arbitration Centre (“SHIAC”) for arbitration in accordance with its arbitration rules then in force at the time of application. The place of arbitration shall be Shanghai. The number of arbitrators shall be three (3). The arbitration proceedings the language shall be Chinese and English. The arbitral award shall be final and binding upon the parties hereto.
